These General Conditions of Sale (hereinafter “CGV”) govern all the commercial relations between the Company PROMAT-MEDICAL SARL (hereinafter “the Seller”) and its professional customers (hereinafter “the Customer”) in the context of the sale of medical equipment and equipment.

Any validation of a quote issued by the Seller implies unreserved acceptance by the Customer of these GCS.

ARTICLE 1: Object

These GCS aim to define the conditions under which the Seller provides the Customer with the products (materials, equipment and accessories, new or used) listed in the quote accepted by the Customer.

Article 2: Products and availability

the website www.promatmedical.com Presents a catalog of products for informational purposes. The Seller does not guarantee the permanent availability of all items. Availability and final technical characteristics are confirmed in the quote.

Article 3: Ordering process by quote

The order is formalized according to the following process:

  1. Quote request: The customer requests a quote via the website, by email or by phone. This request does not constitute an order.
  2. Issuance of the quote: The Seller draws up a detailed quote including the product designation, price, payment terms, estimated delivery time and the validity period of the offer.
  3. Quote validation: The order is considered firm and final when the customer returns the dated quote, signed, and marked “good for agreement”, accompanied by the payment of the deposit if it is required.

ARTICLE 4: PRICE

Product prices are indicated on the quote in CFA francs (XOF). VAT and other applicable taxes will be specified on the quote. The prices displayed on the website are indicative and can be modified at any time. Only the price on the quote is contractual.

Article 5: Payment terms

The payment terms are specified on the quote. Unless otherwise stated, payment is as follows:

  • A deposit of [ex: 50%] of the total amount including tax when ordering.
  • The balance on delivery or before shipment of the products.

Payments are made by bank transfer to the seller's account. No discount will be granted in the event of early payment.

Article 6: Delivery

Delivery times are given for information only on the estimate. The Seller undertakes to make its best efforts to meet these deadlines.
Delivery is made to the address indicated by the customer. It is up to the Customer to check the conformity and condition of the products at the reception and to issue any necessary reservations on the delivery note.

Article 7: Retention of title

The seller retains full ownership of the products sold until full payment of the price. The Customer undertakes not to resell or transform the products until full payment has been made.

ARTICLE 8: GUARANTEE

  • New equipment: New products are guaranteed by the manufacturer. The conditions of this warranty are given to the customer.
  • Used equipment: The used equipment is sold as is and has been tested by our services. A limited warranty may apply and will be explicitly mentioned on the quote.

The warranty does not cover damage resulting from misuse, negligence or modification of the product by the customer.

ARTICLE 9: Liability

The responsibility of the seller is strictly limited to the value of the products concerned by the order. The Seller cannot be held responsible for consequential damages suffered by the Customer (loss of exploitation, loss of profit, etc.).

Article 10: Force majeure

The responsibility of the seller cannot be engaged in the event of force majeure (strikes, natural disasters, etc.) delaying or preventing the execution of the order.

Article 11: Applicable law and competent jurisdiction

These GCS are subject to Beninese law. In the event of a dispute, the parties will endeavor to find an amicable solution. Failing this, the Cotonou courts will have sole jurisdiction.
